Join the in-house legal team supporting a dynamic privately owned 90+ property investment portfolio including multi family, office and industrial properties in the greater Washington, DC metropolitan area. This is a fast paced, deal focused position and a great growth opportunity for a junior attorney. The Associate Attorney reports to the Associate General Counsel and to the General Counsel and assists with real estate transactions. This position does not have supervisor responsibilities. Primary Responsibilities* Draft and negotiate lease agreements, occupancy and license agreements consents to assignments and subleases, telecommunication access and license agreements and landlord lien waiver agreements Draft and negotiate purchase and sale agreements, deeds, assignments, bills of sale, escrow agreements, closing instructions and closing documents, review settlement statements; conduct and coordinate due diligence, review title, survey and reports; coordinate with title company and facilitate closings Negotiate loan documents, draft borrowing resolutions, certificates, opinion letters, closing instructions and closing documents, draft and process tenant estoppels and subordination and non-disturbance agreements, review settlement statements, coordinate survey, reports and other lender deliveries and due diligence; coordinate with title company and facilitate closings Draft and negotiate service contracts, construction contracts, management agreements, broker listing agreements, easements, non-disclosure agreements and software contracts Draft and negotiate operating agreements, partnership agreements, and other joint venture documentation, draft charter documents, articles of dissolutions, corporate resolutions and other entity documentation Assist in the zoning, land use and entitlement process Conduct legal research and interpretation, offering opinion and advice on complex legal issues Excellent attendance is required to perform the essential functions of this position Other duties as assigned * Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions of the job, as described above.
